Key Responsibilities

The Vice President – Legal will be based in Dublin, Ireland and report to the General Counsel. The position will provide additional capability to the Legal Department of this rapidly growing aircraft leasing company and the individual will spearhead the Legal support to the company’s recently launched engine leasing division.

The role will entail working closely with colleagues across the business as part of a transaction focused Deal Team, which will provide significant opportunities for direct interaction with customers, as well as travel.

In addition to the transactional side of the role, the VP Legal will also support the business in a wide range of legal matters, related to portfolio management and trading, corporate initiatives, as well as operational administrative matters.

Specific responsibilities include:

• Provide structuring and drafting advice for Letters of Intent (“LOI”)
• Lead jurisdictional risk analysis and provide relevant input to the business’ credit & risk process
• Draft, negotiate and finalize for execution:
  • New and Used Aircraft Operating/Finance Leases
  • New and Used Engine Operating/Finance Leases
  • Sale & Purchase Agreements
  • Lease Novation Agreements
• Have ability to independently manage transactions from start to finish, including negotiations with third parties, such as airlines, manufacturers, banks, investors and other service providers
• Work closely with internal departments to achieve a timely, cost-effective and smooth transaction.
• Assist in relation to other legal documentation related to the general business of the company, such as service agreements, GTAs, IT contracts
• Prepare draft Board Resolutions, as well as provide advice on general matters of Irish corporate law
• Assist with building a suite of precedent documents and seek to introduce best industry practice into all aspects of the operation of the Legal & Contracts Department

Professional Qualifications

• At least 7 years’ experience in a legal role with first-hand experience in structuring, drafting and negotiating aircraft/engine leasing and trading documentation
• Excellent interpersonal and communication skills, and ability to work as part of a team
• Ability to work pro-actively and apply commercial acumen and good judgement
• Ability to project manage transactions in accordance with company requirements and timelines, as well as prioritize competing deadlines
• Ability to interact with colleagues at all levels in and outside the organization
• Ability to work independently
• Strong problem-solving skills
• Desire to work in a high-paced, dynamic and growing environment  
• Proficient with Microsoft Office Suite (Outlook, Word, Excel and PowerPoint);
• Fluent in English; we are in an international business and languages other than English are a plus
