Corporate Governance Specialist – Key Responsibilities

The Corporate Governance Specialist will be based in Dublin, Ireland, work closely with all departments
and play an important role in providing support to our team. Specific responsibilities include:

• Project manage the creation of legal entities Company-wide, including coordinating with Treasury, Tax, Accounting and Legal teams to evaluate specific transaction and financing requirements necessitating creation of legal entities
• Develop and maintain a corporate entity management system and records to ensure accuracy of information and compliance with reporting and contractual requirements throughout the life cycle of the entity and transactions
• Create and manage the suite of intercompany services agreements
• Work with the Tax and Accounting Teams on documenting intercompany funding arrangements
• Work with Legal team to prepare legal entity corporate resolutions approving and modifying transactions, as well as maintain a register of resolutions passed
• Arrange and coordinate Board Meetings and the execution of related Minutes or Resolutions
• Maintain the corporate structure chart for the broader group
• Project manage the dissolution of legal entities as needed when no longer necessary for Company business purposes
• Prepare responses to “Know Your Customer” inquiries received from third parties seeking information regarding Company entities
• Performing other duties as assigned or requested to support Company transactions

Qualifications

• At least 5+ years’ experience in a company secretarial role, with broader international experience being preferred. Knowledge and experience of the aviation leasing industry would be desirable.
• Excellent organizational, time and project management skills and attention to detail
• Ability to interact with colleagues at all levels in and outside the organization
• Ability to function well in a high-paced environment
• Excellent verbal and written communication skills
• Ability to work independently
• Strong problem-solving skills
• A team player with strong collaborative skills and desire to work in a dynamic and growing environment.
• Proficient with Microsoft Office Suite (Outlook, Word, Excel and PowerPoint); prior experience with contract database or management software required
• Fluent in English; we are in an international business and languages other than English are a plus
